DRIVER TERMS OF USE

Welcome to DES Energy Ltd 

Introduction 

DES Energy Ltd (“we,” “our,” or “the Company”) is pleased to provide you with our services through the DES Energy Website and mobile application (collectively, the “Services”). These Services enable you to charge your electric vehicle at designated Charging Stations that are part of our network. Please take the time to read and understand these Terms of Use (“Terms”) carefully before using our Services. By accessing and using our Services, you agree to be bound by these Terms. 

1. Users 

The following are the different types of users of our Services: 

1. Guest 

You can use our Services as a Guest without registering as a Driver. This allows you to pay for and receive a single vehicle charge from Charging Stations within our network. 

2. Driver 

As a Driver, you will need to download the DES Energy Application and register an account with us. This registration allows you to access various features, including searching for Charging Stations, saving favourites, storing payment methods, and more. 

3. Key FOB User 

 If you register an RFID device with us, you become a Key FOB User. This allows you to link a payment method, access Charging Stations by swiping your RFID device, and use the mobile DES Energy Application. 

2. Services and License 

1. Our core Services include processing payments for electric vehicle charging at Charging Stations and identifying Users as part of a special user group eligible for discounted or free charging at certain Charging Stations. Pricing for Charging Stations is determined by the Charging Site Hosts, not DES Energy. 
2. We grant you a limited, non-sublicensable, non-exclusive license to use our Services, provided you comply with these Terms.  
3. You do not acquire any other rights in the Services. 
4. You grant us a license to use certain information you provide, such as feedback, transaction history, usage data, and log data. This license allows us to improve our Services. 

3. Limitations 

1. Do not circumvent technological measures or features intended to control access to the Services. 
2. Do not use automated means like robots or crawlers to access the Services without our consent. 
3. Do not interfere with the proper functioning of the Services. 
4. Do not bypass measures we use to prevent or restrict access to the Services. 

4. Changes to Terms of Use 

We may modify these Terms at any time, and any changes will be effective immediately upon posting on our Services. We will notify you of material changes. If you don't agree with the changes, you can terminate your account. 

5. Intellectual Property Ownership 

1. Our trademarks, Services, and content are protected under copyright, trademark, and trade secret laws. You agree not to challenge or infringe these rights. 
2. You retain ownership of the content you submit to us, and we do not claim any ownership of it. 

6. Links to Other Services 

Our Services may link to other websites or services. Use them at your own risk, as they are not under our control. 

7. Assignment 

We may freely assign these Terms. 

8. Interruptions to the Services 

Access to our Services may occasionally be unavailable due to technical issues. We are not liable for any such interruptions.

10. User Responsibilities and Obligations 

You agree to various responsibilities and obligations, including providing accurate information, proper use of our Services, and maintaining confidentiality.

12. No Warranty; Disclaimer 

Our Services are provided "as is" and without warranties. You use our Services at your own risk. 

13. Limitation of Liability 

Our liability is limited to a maximum amount. We are not liable for indirect, special, or consequential damages. 

14. Injunction 

Breach of certain sections may result in injunctive relief in addition to other remedies. 

15. Termination 

We may terminate your license for various reasons, including breaches of these Terms. 

16. Indemnification 

You agree to indemnify and hold us harmless from various claims, including disputes with Charging Site Hosts. 

17. Proprietary and other Notices 

Do not alter or remove trademarks or copyright notices from our Services. 

18. Fees and Payment 

Fees are applicable for using our Services. You authorise us to charge your payment method for fees and agree to reimburse us for any costs incurred due to disputes. 

19. General 

These Terms constitute the entire agreement between you and us. Any amendments must be in writing. The governing law is that of England, and disputes will be subject to the jurisdiction of England.
